Terms of Service

These Terms of Service ("Terms") govern your access to and use of TixHQ ("TixHQ", "we", "us") at tixhq.xyz and the TixHQ application (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TixHQ is software that lets venues and event organizers ("Organizers") publish events, sell tickets, manage check-in, and accept payments, and lets attendees ("Buyers") purchase tickets. TixHQ is a technology provider. Except where expressly stated, TixHQ is not the seller, producer, or host of any event and is not a party to the transaction between an Organizer and a Buyer.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) to create an Organizer account.
You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.
Notify us promptly at support@tixhq.xyz of any unauthorized use.

3. Organizer responsibilities

You are solely responsible for your events, including their accuracy, legality, content, pricing, and for delivering the event as advertised.
You are the merchant of record for your ticket sales. You set and clearly communicate your own refund and cancellation policy for each event.
You are responsible for handling attendee data you receive in accordance with applicable law and our Privacy Policy.
You must comply with the terms of our payment processor, Stripe, including its Connected Account Agreement.

4. Buyer terms

Tickets are sold by the Organizer, not by TixHQ. Your purchase is a transaction with the Organizer.
Refunds, exchanges, and cancellations are governed by the Organizer's stated policy for that event. Contact the Organizer for refund requests; TixHQ may facilitate refunds at the Organizer's direction but is not obligated to issue them.
You agree to provide accurate information and not to resell tickets in violation of the Organizer's rules or applicable law.

5. Fees and payments

TixHQ offers a free Starter plan and paid plans (Pro at $24/month and Scale at $99/month at the time of writing). Current pricing is shown on our pricing page and may change with notice.
Depending on your plan, TixHQ may charge a platform fee and/or a per-ticket service fee on sales. These are disclosed at checkout and/or in your plan.
Payments and payouts are processed by Stripe. Standard Stripe payment-processing fees apply and are charged by Stripe. Payouts are made to your connected Stripe account subject to Stripe's terms and payout schedule.
Subscription fees are billed in advance and are non-refundable except as required by law. You can cancel a paid plan at any time; it remains active through the end of the current billing period.
You are responsible for any taxes applicable to your events and sales.

6. Acceptable use

You agree not to use the Service to:

Violate any law or third-party right, or sell tickets to illegal or fraudulent events.
Post false, misleading, infringing, or harmful content.
Attempt to gain unauthorized access to the Service, other accounts, or our systems; probe or circumvent security; or interfere with normal operation.
Use the Service to launder money, facilitate fraud, or process payments for prohibited businesses under Stripe's rules.

We may suspend or terminate accounts that violate these Terms.

7. Intellectual property

The Service, including its software, design, and branding, is owned by TixHQ and protected by intellectual-property laws. You retain ownership of the content you upload (such as event details and logos) and grant us a license to host and display it as needed to operate the Service. You may not copy, modify, or reverse-engineer the Service except as permitted by law.

8. Third-party services

The Service integrates third-party services, including Stripe for payments and email providers for delivery. Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. TixHQ is not responsible for the conduct of Organizers or Buyers or for events that are cancelled, postponed, or differ from their description.

10. Limitation of liability

To the maximum extent permitted by law, TixHQ and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the fees you paid to TixHQ in the three months before the claim or USD $100.

11. Indemnification

You agree to indemnify and hold TixHQ harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your events, your content, your use of the Service, or your violation of these Terms or any law.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitations of liability, and indemnification) will survive.

13. Governing law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there. (Confirm or change this jurisdiction with legal counsel.)

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may notify you through the Service. Continued use after changes take effect constitutes acceptance.
